Terms of sale

These general terms and conditions of sale ("Terms") govern the contractual relationship between Codgela GmbH (hereinafter "the Provider") and any individual or legal entity (hereinafter "the Client") wishing to benefit from its services.

1. Purpose

Codgela GmbH offers custom software development services: scripts, Excel/VBA dashboards, web applications, automation, and electronic invoicing tools.

2. Formation of the contract

Any service is subject to a prior quote, prepared free of charge after review of the request. The contract is formed upon written acceptance of the quote by the Client (email or signature). A deposit may be requested before work begins.

3. Pricing

Prices are set in the quote according to the complexity and estimated duration of the project. Services are invoiced in Swiss francs (CHF), unless otherwise agreed in the quote. Codgela GmbH is not subject to Swiss VAT as long as its annual turnover remains below CHF 100,000. Prices shown are therefore exclusive of VAT.

4. Delivery timelines

Timelines given in the quote are indicative. They are provided in good faith and may vary depending on the Client's responsiveness for necessary exchanges. Any significant delay will be communicated in advance.

5. Payment terms

Payment upon receipt of invoice, unless otherwise agreed in the quote
Payment term: 30 days maximum
Accepted payment methods: bank transfer, PayPal
In case of late payment: late payment penalties at the applicable legal rate

6. Intellectual property

Source code and deliverables developed by Codgela GmbH are transferred to the Client upon receipt of full payment. Before full payment, deliverables remain the property of Codgela GmbH.

Codgela GmbH reserves the right to mention the completed project in its portfolio, unless the Client expressly requests confidentiality.

7. Warranty and support

Codgela GmbH guarantees the proper functioning of deliverables in accordance with the quote's specifications for a period of 30 days after delivery. Bug fixes related to the development are included. Functional changes are subject to a new quote.

8. Confidentiality

Codgela GmbH undertakes to treat as confidential all information communicated by the Client within the scope of the projects carried out.

9. Applicable law and disputes

These Terms are governed by Swiss law (Code of Obligations - CO). In the event of a dispute, the parties agree to seek an amicable solution before any legal action. Failing that, the courts of Basel-Stadt, Switzerland shall have sole jurisdiction.
